Downloadable Products
(Guidebooks and Printables)

These Terms of Use for Downloadable Products (“Product Terms”) govern your purchase, download, and use of digital guidebooks, printables, and other downloadable files (“Downloadable Products”) offered for sale by Offbeat Empire, LLC, a Washington limited
liability company, (“we,” “us,” or the “Company”) through the Sites, as defined in the Company’s general Terms of Use. These Product Terms are Additional Terms and Conditions under the Company’s general Terms of Use and are incorporated into them. If these Product Terms conflict with the general Terms of Use, these Product Terms govern your purchase and use of Downloadable Products. By purchasing or downloading a Downloadable Product, you agree to these Product Terms. If you do not agree, do not purchase or download.

Definitions

  • “Downloadable Product” means any digital file we offer for sale, including guidebooks, printables, templates, checklists, and similar materials.
  • “Wedding Professional” means “a purchaser that is engaged in the business of providing wedding-related products or services, and does NOT hold a vendor membership or subscription account with the Company. “Wedding Professional” status is determined as of the date of purchase.
  • “Vendor Member” means a purchaser that is engaged in the business of providing wedding-related products or services, and holds a vendor membership subscription account with the Company. Vendor status is determined as of the date of purchase.
  • “Vendor Client” means a person who has engaged a Vendor Member to provide wedding-related products or services under an active client relationship.

License for All Purchasers

When you purchase a Downloadable Product, you are buying a limited, non-exclusive, non-transferable, non-sublicensable license to use the file, not the file itself or any ownership interest in it. Each purchase is a one-time purchase for personal use.

Under this license you may

  • download and store the file on your own devices and print copies for your own use;
  • if you are a couple or individual planning a wedding, use the materials for your own wedding planning; and
  • if you are a wedding professional, use the content of the materials in performing services for your
    own clients. Unless you qualify for the Vendor Member exception in Section 3, this license does NOT permit you to
    give, send, or otherwise distribute copies of the files to anyone else, including your clients.

Vendor Member Exception

If you are an active Offbeat Wed Vendor Member with a paid subscription, you may also share copies of the Downloadable
Product with your clients as part of the products or services you provide to them. This exception is subject to the following conditions:

  • Sharing is limited to your Vendor Clients. You may not distribute the files to prospects, mailing lists, other wedding professionals, or the general public.
  • Sharing is limited to the time that you are an active, paying Offbeat Wed Vendor Member. If your subscriptions lapses or expires, the permission to share the files is rescinded.
  • You may not sell the files or charge a separate fee for them, whether on their own or bundled into a product or package you sell.
  • Neither you nor your Vendor Clients may repackage, rebrand, modify, or white-label the files or present them as your own work.
  • Your Vendor Clients receive the files for their own personal wedding planning only and may not share them further.
    • You must inform your Vendor Clients of these restrictions before sharing, and you are responsible for their compliance.
    • A violation of these Product Terms by a Vendor Client with whom you shared the files is treated as a violation by you.
    • This exception applies only to Downloadable Products you purchased yourself and only in connection with active client engagements. It does not permit distribution to prospective clients as a marketing tool.

Prohibited Uses

No purchaser, whether an individual, a couple, a Wedding Professional, or a Vendor Member, may do any of the following:

  • Sell the files or charge for them, directly or indirectly. A Vendor Member’s ordinary fees for its own services are not a charge for the files, and a Vendor Member sharing files with Vendor Clients at no additional charge under Section 3 does not violate this restriction. What you may not do is price, market, or advertise the files as a product or deliverable of your business, bundle them into a paid product or package, charge a separate or increased fee because the files are included, or otherwise monetize the files themselves rather than your own work.
  • Post or upload the files anywhere the public or other third parties can access them, including, but not limited to, your own website, social media, a shared drive with open access, a file- sharing service, or a marketplace.
  • Claim authorship of the materials or represent that you created them.
  • Remove, obscure, or alter our branding, logos, trademarks, copyright notices, or attribution,
    or pass the materials off as your own.
  • Use the materials in any way not expressly permitted by these Product Terms.

    Any use outside the scope of the license granted in these Product Terms is a violation of these Product Terms and may infringe our intellectual property rights.
  1. Ownership. All Downloadable Products, including their text, design, layout, graphics, and branding, are Empire Content as defined in the Company’s general Terms of Use, are and remain the exclusive property of the Company, and are protected by United States copyright, trademark, and other intellectual property laws. Nothing in these Product Terms transfers any ownership
    rights to you.
  2. Delivery. Downloadable Products are digital files delivered by email to the address you provide at checkout, typically promptly after payment is processed. You are responsible for providing an accurate email address. If you do not receive your file, contact us at https://offbeatempire.com/hi/ we will resend it.
  3. All Sales Final; No Refunds. Because Downloadable Products are digital files that cannot be returned, all sales are final once the file has been delivered or downloaded. We do not offer refunds, exchanges, or credits, including for dissatisfaction with the content or accidental purchase. If a file is defective or corrupted, contact us at https://offbeatempire.com/hi/ and we
    will provide a working replacement copy.
  4. Termination. If you violate these Product Terms, your license terminates automatically and you must immediately stop all use of the Downloadable Products and permanently delete all copies in your possession or control. Termination does not limit any other remedies available to us.
  5. Disclaimer. Downloadable Products are provided “as is” for general informational and planning purposes. We make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement, and we do not guarantee any particular outcome from using the materials.
  6. Limitation of Liability. To the fullest extent permitted by law, our total liability arising out of or relating to a Downloadable Product will not exceed the amount you paid for that product, and we will not be liable for any indirect, incidental, consequential, or special damages.
  7. Governing Law and Venue. These Product Terms are governed by the laws of the State of Washington, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Product Terms or a Downloadable Product is subject to the dispute resolution provisions of the Company’s general Terms of Use, including the binding Arbitration Agreement, the waiver of class and consolidated actions, and the one-year limitation period, all of which are incorporated into these Product Terms by reference. As provided in the Arbitration Agreement, either party may seek equitable relief in court for infringement or other is use of intellectual property rights.
  8. Changes to These Product Terms. We may update these Product Terms from time to time. The version in effect at the time of your purchase governs that purchase. Updated Product Terms apply to purchases made after they are posted.
