Offbeat Wed Member Agreement

Effective date: January 1, 2026
This Member Agreement (the “Agreement”) governs your purchase of, and participation in, the Offbeat Wed vendor membership program (the “Membership”). Please read it carefully.

By checking the box at checkout and completing payment, you acknowledge that you have read, understood, and agree to be bound by this Agreement. You represent that you are authorized to enter into this Agreement on behalf of yourself and/or your business.

1. Parties and definitions

  • “Offbeat Empire” means Offbeat Empire, LLC, a Washington limited liability company.
  • “Offbeat Wed” means the Offbeat Wed website and brand, currently located at offbeatwed.com, operated by Offbeat Empire.
  • “We,” “us,” or “our” means Offbeat Empire.
  • “You,” “your,” or “Member” means the individual and/or business purchasing the Membership.
  • “Vendor Guide” means the Offbeat Wed searchable vendor directory and associated listing pages.
  • “Member Content” means any content you submit in connection with your Membership or Vendor Guide listing, including business descriptions, photos, logos, trademarks, promotions, testimonials, links, and contact information.
  • “Member Resources” means member-only downloads and materials made available through Offbeat Wed during an active Membership term. Specific resources may change over time.
  • “1:1 Session” means one forty-five (45) minute advisory consulting session with the founder of Offbeat Wed or another representative designated by Offbeat Empire.

2. What the Membership includes

During an active Membership term, you are entitled to the following core benefits (the “Core Entitlements”):

  1. A curated Offbeat Wed Vendor Guide listing, including:
    • twelve (12) months in the searchable Vendor Guide, linked site-wide, and
    • a feature-rich listing with space for photos, testimonials, promotions, and social links (features may evolve over time).
  2. One (1) forty-five (45) minute 1:1 Session, advisory in nature, which may be used for strategy, messaging, inclusivity considerations, AI-related questions, or a founder-level business gut check.
  3. Access to Member Resources made available during your active Membership term.

3. What the Membership does not include

Offbeat Empire provides access and duration, not performance or outcomes. You acknowledge and agree that the Membership does not include any guarantee of:

  • leads, inquiries, bookings, revenue, profit, or business growth,
  • publication or editorial coverage beyond your Vendor Guide listing,
  • visibility, reach, search rankings, or exposure,
  • availability beyond the access expressly described in this Agreement, or
  • outcomes or results from the 1:1 Session.

Any traffic, usage, or visibility information shared by Offbeat Empire is provided as a courtesy only and does not constitute a guarantee.

4. Term, renewal, and cancellation

Term. Your Membership begins on the date payment is received and continues for twelve (12) months (the “Term”).

Auto-renewal. Unless you cancel before the end of your current Term, your Membership will automatically renew for an additional twelve (12) month term at the then-current Membership rate, charged to your payment method on file.

Cancellation. You may cancel renewal at any time using the cancellation method provided at checkout or by written request to Offbeat Empire. Cancellation prevents future renewal but does not shorten the current Term.

Effect of cancellation. Your Vendor Guide listing and other Core Entitlements remain active through the end of your paid Term.

5. Booking and use of the 1:1 Session

Booking window. The 1:1 Session must be scheduled within thirty (30) days of purchase. If the session is not scheduled within that period, Offbeat Empire may treat the session as forfeited, unless otherwise agreed in writing at Offbeat Empire’s sole discretion.

Scheduling. Sessions are scheduled subject to mutual availability. Availability on specific dates or timelines is not guaranteed. Reasonable notice is required to reschedule.

Advisory-only. The 1:1 Session is advisory only. Offbeat Empire does not provide legal, financial, medical, therapeutic, or other professional services and is not responsible for your implementation decisions or business outcomes.

6. Payment, fees, and taxes

Payment. Membership fees must be paid in full before access, listing publication, or Member Resource availability begins.

Failed payments. If a payment fails, is reversed, or is disputed, Offbeat Empire may pause or remove Membership access and/or your Vendor Guide listing until payment is resolved.

Taxes. You are responsible for any applicable taxes related to your purchase, except where Offbeat Empire is required by law to collect and remit them.

Rate changes. Membership rates may change over time. Renewals will be charged at the rate in effect at the time of renewal.

7. Curated listings and editorial discretion

The Offbeat Wed Vendor Guide is curated. Offbeat Empire reserves the right, at its sole discretion, to review, edit for clarity or formatting, approve, request changes to, decline, or remove Member Content or listings.

This includes content that is misleading, unlawful, infringing, unsafe, or materially inconsistent with the Offbeat Wed community’s inclusive spirit.

Curation does not imply endorsement and does not guarantee results.

8. Member representations, warranties, and content license

You represent and warrant that:

  1. You are the business owner or an authorized representative of the business listed.
  2. You have authority to enter into this Agreement.
  3. Your Member Content is accurate and not misleading.
  4. You own or have permission to use all Member Content and its use does not infringe third-party rights.

License to Offbeat Empire. You grant Offbeat Empire a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and publish your Member Content in connection with operating Offbeat Wed, the Vendor Guide, and related promotion of the Offbeat Wed vendor community. This license lasts for the duration of your active Term and a reasonable wind-down period afterward for removal or archival.

9. What happens at expiration or non-renewal

If your Membership expires or is not renewed:

  • Vendor Guide listing: Your listing will be removed the day after the Term ends.
  • Member Resources and private access: Access ends at the conclusion of the Term.
  • Downloaded materials: You may retain and reuse materials downloaded during your active Term.
  • Membership badges: You may continue to display badges representing the specific years you were an active Member. You may not represent yourself as a current Offbeat Wed Member after expiration.

10. Changes to Membership components

Offbeat Empire may modify Membership features, resources, formats, or delivery methods at any time, with notice, provided that the Core Entitlements remain materially available during your active Term.

11. Refund policy

Membership fees are non-refundable. Offbeat Empire may, at its sole discretion, issue a refund in individual circumstances. Any such exception does not create a future obligation or precedent.

12. Values and conduct

Participation in the Offbeat Wed Membership requires lawful, respectful, and good-faith conduct. Offbeat Empire reserves the right to suspend or terminate access where conduct materially undermines the community, Offbeat Wed’s operations, or Offbeat Empire’s ability to do its work. Offbeat Empire is not obligated to act as a cultural enforcer and retains discretion regarding enforcement.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OFFBEAT EMPIRE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE MEMBERSHIP, REGARDLESS OF THE THEORY OF LIABILITY.

OFFBEAT EMPIRE’S TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU FOR THE THEN-CURRENT TERM.

14. Disclaimer of warranties

THE MEMBERSHIP, OFFBEAT WED, AND ALL RELATED SERVICES AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” OFFBEAT EMPIRE DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

OFFBEAT EMPIRE DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE SERVICE OR ANY PARTICULAR BUSINESS RESULT.

15. Indemnification

You agree to indemnify, defend, and hold harmless Offbeat Empire, its owners, officers, employees, agents, and representatives from any third-party claims, damages, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising from:

  • your breach of this Agreement,
  • your Member Content or business activities,
  • infringement claims related to your content, or
  • your violation of law, negligence, or willful misconduct.

16. Governing law

This Agreement is governed by the laws of the State of Washington, without regard to conflict-of-law principles.

17. Entire agreement and severability

This Agreement constitutes the entire agreement between you and Offbeat Empire regarding the Membership and supersedes all prior agreements on the subject. If any provision is held unenforceable, the remainder will remain in full force and effect.
